Agreement between: Raywise Technologies Co., Limited, a company incorporated in Hong Kong, with its registered office at Room 12, 3/F, Yau Lee Centre, 45 Hoi Yuen Road, Kwun Tong, Hong Kong ("Raywise", "we", "us"), and the natural or legal person who uses the Services ("you").
By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Acceptance of the Terms
By using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. Additional terms may apply to specific Services — for example, the in-app End User Licence Agreement (EULA) for a particular App, or the terms of a third-party SDK that the App integrates. Those additional terms are binding on you to the extent they apply.
2. Eligibility
You must be of legal age in your jurisdiction to enter into a contract (in most jurisdictions, 18) to accept these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation, in which case "you" refers to the organisation. The Services are not directed to children; see section 10 and our Privacy Policy §12 for the additional rules that apply.
3. Description of the Services
Raywise provides the following Services:
- The corporate Website at ruiyusmart.com — informational pages, contact, legal disclosures.
- Mobile management applications published on Google Play and the Apple App Store, covering the nine business lines below.
- Business, engineering, and consulting services as described on the Services page.
The nine business lines are: Smart Control Systems; Industrial Automation Products; IoT Device R&D & Technical Services; Software Development; Automation Equipment Sales; Electronic Components Sales; Technology Transfer & Consulting; Business Information Consulting; and Import & Export of Goods and Technology. Each App on the App Store and Google Play maps to one of these business lines.
4. Account, Registration, and Security
The Website does not require an account. The contact form on the Website is a mailto:-based form that opens your email client; no data is stored on the Website's server. The Apps may offer optional in-app accounts in the future; if so, this section will be updated. You are responsible for keeping your device, your email account, and any in-app credentials secure.
5. Licence & Permitted Use
5.1 App EULA
Subject to your compliance with these Terms, Raywise grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use each App on a Device that you own or control, for your personal or internal-business purposes, and only as permitted by the App Store / Google Play terms.
5.2 Website licence
Subject to your compliance with these Terms, Raywise grants you a limited, revocable, non-exclusive, non-transferable licence to view and interact with the Website for your personal or internal-business purposes.
5.3 Prohibited use
You agree not to use the Services:
- for any unlawful, infringing, harmful, fraudulent, deceptive, harassing, defamatory, obscene, or hateful purpose;
- to upload, transmit, or distribute malware, phishing content, spam, or any other harmful content;
- to interfere with the Services, our infrastructure, or any other user's enjoyment of the Services;
- to scrape, crawl, or otherwise perform automated access to the Website (other than as permitted by
robots.txt); - to reverse engineer, decompile, or attempt to extract the source code of any App (other than as permitted by mandatory law);
- to perform security testing against our infrastructure without our prior written consent;
- to commercially resell the Services without a written agreement with us.
6. Intellectual Property
Raywise retains all rights, title, and interest in and to the Services, the Apps, the trademarks, the brand, the source code, the documentation, and any derivative works. You retain all rights in your own content (for example, the body of a message you send to us through the contact form) and grant Raywise a limited, non-exclusive, royalty-free licence to use that content for the purpose of providing the Services. Open-source components in the Apps retain their own licences; an in-app "Open Source" screen lists each component and its licence.
7. Third-Party Services, SDKs, and Content
The Apps integrate third-party SDKs — including the 21 ad platforms listed in Privacy Policy §6 — and the Apps may display third-party content such as advertising. Each SDK is governed by its own terms, and each ad network is governed by its own privacy policy; you agree to those terms and policies by using the App. Apple and Google have their own end-user terms for the App Store / Google Play, the install process, and the operating system; those terms apply to you to the extent they govern your use of the store or the OS.
8. User Content
You agree not to submit content that is unlawful, infringing, or harmful, or that violates any third-party right. You retain ownership of your content; you grant Raywise a limited licence to use it for the purpose of providing the Services. We may remove content that violates these Terms, and we may do so without notice where we reasonably believe removal is necessary to protect the Services, our users, or third parties.
9. Feedback
If you send us feedback, suggestions, or ideas, you agree that the feedback is non-confidential and that Raywise may use it for any purpose, without compensation to you.
10. Privacy & Data
Privacy is governed by our Privacy Policy, which covers (among other things) advertising, the 21 ad platforms in section 6 of that Policy, the four ad formats in section 7, the regional rights in section 11, and the children's-data frameworks in section 12. By using the Services, you agree to the data collection and use described in the Privacy Policy.
11. App Store-Specific Terms (Apple + Google)
11.1 Apple
The EULA for an App is between you and Raywise, not with Apple. Apple has no maintenance or support obligation for the App. The licence is limited to use on an Apple-branded Device you own or control, as permitted by the Apple Media Services Terms and Conditions. Apple may enforce this EULA against you as a third-party beneficiary. In the event of a third-party claim relating to the App, Raywise — not Apple — is responsible for the investigation, defence, settlement, and discharge of that claim, except where the claim arises from your breach of these Terms or the Apple terms.
11.2 Google
The EULA for an App is between you and Raywise, not with Google. Google has no maintenance or support obligation for the App. The licence is for use on a Device you own or control. The Google Play Terms of Service apply as a "store of record" agreement between you and Google.
12. Subscriptions, Purchases, and Refunds
The Apps are free with ads at the time of these Terms. There are no in-app purchases or auto-renewing subscriptions. If we add paid features or subscriptions in the future, this section will be updated; billing will be handled by Apple or Google through the App Store / Google Play, and their respective refund policies will apply.
13. Modifications to the Services and the Terms
We may modify the Services at any time, with or without notice. We may modify these Terms with at least 30 days' notice for material changes; non-material changes will be reflected in the "Last updated" date above. Your continued use of the Services after the effective date of a change constitutes acceptance of the updated Terms.
14. Suspension and Termination
We may suspend or terminate your access to the Services:
- For cause — if you violate these Terms, use the Services in an illegal or harmful way, or create a security risk — immediately, without notice.
- For convenience — with reasonable notice.
On termination, all licences granted to you end. Clauses that by their nature survive — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Contact — survive.
15. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available", without any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Services will be uninterrupted, secure, or error-free. The Services are not intended for use in high-risk environments (medical, life-support, nuclear, aviation, or any other context where failure could lead to death, personal injury, or severe environmental damage) unless explicitly contracted for that purpose.
16. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Services is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD 100. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain damages; in those jurisdictions, the exclusion is limited to the extent permitted.
17. Indemnification
You agree to indemnify and hold Raywise harmless from any claim arising out of your violation of these Terms, your misuse of the Services, or your violation of any law or third-party right.
18. Export Control and Sanctions
You will not use the Services if you are located in a sanctioned country or are a sanctioned person under the laws of Hong Kong, the United States, the United Kingdom, the European Union, or the United Nations. The ninth business line — Import & Export of Goods and Technology — is subject to applicable trade laws, including the export of dual-use goods, controlled components, and encryption technology.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of Hong Kong SAR (the company's seat), without regard to conflict-of-laws rules. The parties shall first attempt informal resolution by writing to support@ruiyusmart.com; if that fails within 30 days, the courts of Hong Kong SAR have exclusive jurisdiction, save that consumers in the EU/UK retain the protection of the mandatory laws of their habitual residence (e.g. a consumer cannot be deprived of the right to sue in their home court). Nothing in this section prevents either party from seeking interim or injunctive relief in a court of competent jurisdiction.
20. Language
These Terms are published in English. Where any translation is made available, the English version controls.
21. Severability, No Waiver, Assignment
If any provision of these Terms is held unenforceable, the rest stands. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms to a successor in interest (for example, in connection with a merger, acquisition, or sale of assets), with notice to you.
22. Entire Agreement
These Terms, the Privacy Policy, and any in-app EULA together constitute the entire agreement between you and Raywise with respect to the Services, and supersede any prior or contemporaneous communications on the same subject matter.
